TERMS OF ENGAGEMENT

These Terms of Engagement (“Terms”) govern the relationship between Culture Ops, LLC (“Culture Ops,” “we,” “us,” or “our”) and any client, partner, or entity engaging our services (“Client,” “you,” or “your”). By retaining Culture Ops, you agree to the following:

1. Scope of Services

Culture Ops provides multicultural strategy, creative development, consulting, training, and related services (the “Services”). Specific deliverables, timelines, and fees will be detailed in individual Mission Briefs or Statements of Work (SOWs), which form part of these Terms.

2. Confidentiality & Classified Work

2.1 Mutual Confidentiality. Both parties agree to keep all non-public information, trade secrets, intellectual property, and sensitive business data strictly confidential.
2.2 Work Product. Certain deliverables may be designated “classified” and shared only upon request with proper clearance. Culture Ops will not disclose Client-related work publicly without prior written consent.

3. Fees, Payment & Mission Reserve

3.1 Fees. All fees are outlined in the applicable Mission Brief or SOW.
3.2 Payment Terms. Unless otherwise agreed, invoices are due net 30 days from the invoice date.
3.3 Mission Reserve. A portion of fees may be allocated by Culture Ops to cover operational expenses, as communicated in advance.
3.4 Victory Bonus (if applicable). Any performance-based bonuses shall be tied to specific KPIs defined in the Mission Brief and payable only after the Client has received and verified results, and the Mission Fee has been paid in full.

4. Remuneration Protocol

4.1 Timing. Remuneration to Culture Ops squad members is contingent upon full payment from the Client. No disbursements shall occur prior to Client payment.
4.2 Adjustments. Percentages allocated to squad members may vary based on final project responsibilities as outlined in the Mission Brief and confirmed in the Mission Debrief.

5. Intellectual Property

5.1 Ownership. Upon full payment, Client will own the final deliverables specifically identified in the Mission Brief.
5.2 Exclusions. Culture Ops retains ownership of pre-existing tools, methodologies, frameworks, or cultural intelligence systems used in delivering Services.

6. Term & Termination

6.1 Term. Engagement begins on the effective date of the Mission Brief and continues until deliverables are complete unless terminated earlier.
6.2 Termination. Either party may terminate with 30 days’ written notice. Client is responsible for all work performed and expenses incurred up to the termination date.

7. Limitation of Liability

To the maximum extent permitted by law, Culture Ops shall not be liable for indirect, incidental, or consequential damages. Our total liability under any engagement shall not exceed the fees paid for the specific mission giving rise to the claim.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Insert State, e.g., Illinois], without regard to conflict of law principles.

9. Dispute Resolution

Any disputes arising under these Terms shall first be addressed through good-faith negotiations. If unresolved, disputes shall be submitted to binding arbitration in [Insert County/State], under the rules of the American Arbitration Association.

10. Entire Agreement

These Terms, together with the applicable Mission Briefs or SOWs, constitute the entire agreement between Culture Ops and Client, superseding all prior understandings.

Directive

Our squad moves as one. When missions succeed, rewards are distributed with fairness and precision. Engagement with Culture Ops requires discipline, trust, and respect for these Terms.
